RESOLUTION APPROVING A DISTRIBUTED POWER AGREEMENT WITH MINNESOTA POWER AND HARTLEY NATURE CENTER CORPORATION.

BY COUNCILOR NESS:

        WHEREAS, the city of Duluth has a lease agreement with the Hartley Nature Center Corporation; and

        WHEREAS, Minnesota Power has agreed to provide funding to Hartley Nature Center Corporation for the purchase, installation and first year maintenance of distributive electrical energy generation systems for the future Hartley Nature Center building facility; and

        WHEREAS, the city will become the recipient of said distributive energy generation systems with the Hartley Nature Center Corporation,

        NOW, THEREFORE, BE IT RESOLVED, that the proper city officers are hereby authorized and directed to execute a distributed power agreement substantially to be in the form of that certain document on file in the office of the city clerk as Public Document No. ___________.



STATEMENT OF PURPOSE: The Hartley Nature Center Corporation has secured $1.5 million in state bonding funds to be used toward the future construction of the Hartley Nature Center building within Hartley Park. Minnesota Power has offered a partial funding match in the form of the purchase and first year's maintenance for the distributive electrical energy generation systems. These systems consist of a microturbine, photovoltaic system, and fuel cell. The distributed power agreement defines and formalizes Minnesota Power's commitment to the Hartley Nature Center building project and defines the roles of the three parties involved. This distributed power agreement further refines the roles of the three parties and supercedes the earlier memorandum of understanding (Contract 18811) approved by the city council via Resolution 00-0777 on November 27, 2000.
