BY COUNCILOR STOVER:
BE IT RESOLVED, that pursuant to the powers granted to the city under Minnesota Statutes, Chapter 469, and under the procedure required by M.S.A. Section 469.092, and protecting other parties as required by M.S.A. Section 469.092, subd. 5, the Duluth Economic Development Authority shall, at the beginning of July 1, 2005, be terminated, and its existence ended, by way of the repeal of the following resolutions: 89-0323, 98-0949, 99-0239, 02-0606, 04-0202, 04-0215. The effective date of this repeal is the beginning of July 1, 2005.
BE IT FURTHER RESOLVED, that the rights and obligations, contractual and otherwise, of the Duluth Economic Development Authority shall, at the time of its termination, to the extent allowed by law, become the rights and obligations of the city of Duluth.
BE IT FURTHER RESOLVED, that the city shall accept the transfer of all property, real and personal, owned by DEDA and such property shall become the property of the city.
BE IT FURTHER RESOLVED, that the proper city officials shall prepare ordinances, resolutions, documents, contracts, financial transfers, accountings, and reports necessary to carry out the winding up of the business of the Duluth Economic Development Authority and the transfer of its property and obligations to the city of Duluth, and shall bring any such matters before the DEDA and the council at such times that the transfer and termination can occur on the date given above.
BE IT FURTHER RESOLVED, that the city shall continue DEDA’s work of economic development through the structure of the city government.
STATEMENT OF PURPOSE: This resolution terminates the DEDA and transfers its function to the city government.
