RESOLUTION AUTHORIZING CITY OFFICIALS TO AMEND AND EXECUTE AGREEMENT #20510 WITH THE DULUTH ENTERTAINMENT CONVENTION CENTER FOR THE OPERATION OF THE MINNESOTA SLIP PEDESTRIAN DRAW BRIDGE FOR YEAR 2008 FOR A TOTAL AMOUNT NOT TO EXCEED $33,800.

CITY PROPOSAL:

     RESOLVED, that city officials are hereby authorized to amend and execute Agreement #20150 with the Duluth Entertainment Convention Center for the operation of the Minnesota Slip pedestrian draw bridge by:

     (a)  Adopting language which amends sections covering contract renewal and yearly increases; and

     (b)  Providing an amount not to exceed $33,800 for year 2008, payable from the General Fund 100, Organization 1930-2310, Object 5455.

     Said contract is to be substantially in the form of Public Document No. __________ on file in the office of the city clerk.

STATEMENT OF PURPOSE:  This resolution authorizes renewal and execution of an amended city contract with the Duluth Entertainment Convention Center (DECC) for operation of the Minnesota Slip pedestrian draw bridge in 2008 for an amount not to exceed $33,800, payable from the general fund.


Amendments to Contract #20150 include the following provisions:

(1)  automatic renewal each year with city council approval if neither party receives a termination notification by November.

(2)  yearly contract increases limited to the Implicit Price Deflator or IPD, for government purchases as determined by the state of Minnesota, rounded to the nearest 100th.


The city published the original request for proposals (RFP) in November of 2005 and invited eight vendors to submit RFPs. The DECC was the only vendor who submitted a proposal. Since then, the city has either renewed or extended the contract each year.


The basic term of this agreement shall commence January 1, 2008, and run through October 8, 2008. It is the city’s intention to renew the contract each year subject to city council approval unless otherwise extended or terminated per contract provisions.


The DECC has been operating the pedestrian draw bridge for the city since 2001.
